General Terms of Use: Axiym Platform

Please read these terms carefully. by accessing the website, utilizing the trading interface, or connecting via api (collectively, the "platform"), you acknowledge that you have read, understood, and agree to be bound by these general terms of use ("terms"). if you do not agree to these terms, you must immediately cease all access to the platform.
These Terms are effective as of the date of the User’s first access to any part of the Platform and are entered into between Axi Labs AG (CHE-299.451.950), Baarerstrasse 12, 6300 Zug, Switzerland ("Axiym"), a supervised Swiss financial intermediary pursuant to Article 2 of the Swiss Federal Act on Combating Money Laundering and Terrorist Financing (AMLA); and any person or entity accessing the Platform ("Customer" or "User").
1. Definitions
For the purposes of these Terms:
- Assets: Fiat Currencies, or any other Digital or traditional assets that may be exchanged via the Platform, as determined by Axiym from time to time.
- Axiym Affiliate: Any legal entity which is being controlled by or being under common control with Axiym, with "control" meaning directly or indirectly holding at least fifty percent of the voting stock or possessing the power to direct or cause the direction of its management and policies.
- API (Application Programming Interface): The set of protocols, routines, and developer tools provided by Axiym that allows the Customer’s software systems to automatically communicate and interact directly with the Platform.
- Corporate Client: Any validly existing legal entity that has been approved by Axiym to access the restricted areas of the Platform.
- Exchange Services: The asset conversion trade services provided by Axiym for the exchange of Assets specifically via the Platform interface.
- Fiat Currencies: Government-issued currencies that are legal tender, such as CHF, EUR, or USD.
- Financing Services: The "Pay Now, Settle Later" or financing services offered via the Platform.
- Digital Assets: Stablecoins supported by the Platform, being fiat-referenced digital units of value, including but not limited to USDT and USDC, as determined by Axiym at its sole discretion.
- Onboarding Process: The verification and registration procedure required to access services, including but not limited to KYC, AML, and sanctions checks.
- Platform: Collectively refers to the public website (axiym.io), the secure trading interface, API, and all associated digital infrastructure operated by Axiym.
2. Public vs. Restricted Access
- Public Domain: Visitors to public areas are bound by Intellectual Property, Privacy, and Liability rules upon the moment of access.
- Restricted Access: Access to Exchange and Financing Services is strictly limited to registered users who have successfully completed the Onboarding Process ("Registered Users").
- Facilities Agreement: Your access to Financing Services is subject to a separate facility agreement to be entered into between you and Axiym or the relevant Axiym Affiliate (the "Facilities Agreement"). In the event of a conflict between these Terms of Use and the Facilities Agreement regarding Financing Services, the Facilities Agreement shall prevail.
3. Usage Rules & Availability
- Authorized Registered Users: Registered Users represent and warrant that they are acting on behalf of a validly existing legal entity (a "Corporate Client") and that all actions and transactions performed on the Platform are duly authorized by such Corporate Client in accordance with its constitutive documents.
- Platform Availability ("As Is"): The Platform and all its contents are provided "as is" and "as available" without warranties of any kind. Axiym does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. Axiym is not liable for losses resulting from system latency, internet failures, or scheduled maintenance.
- No Financial Advice: Any pricing information, research, data, or content provided on the Platform is for informational purposes only and shall not be construed as investment, financial, or legal advice. Users act on such data entirely at their own risk.
- Monitoring and Review: Axiym reserves the right to monitor, screen, or review any activity on the Platform and investigate potential violations at its sole discretion.
- Access Restrictions: Axiym reserves the right to deny, restrict, or block access to the Platform from any internet source, IP address, or country at any time, in its sole discretion, and without providing any notice or reason.
4. Eligibility and Representations
- Verification: Access to the Platform is strictly conditional upon the successful completion of Axiym’s Onboarding Process. Axiym may, at any time, request additional information to maintain your access. Refusal to provide accurate data is grounds for immediate termination of access.
- Customer Representations: By accessing the Platform or using the Services, the Customer represents and warrants that: (i) it has the full power and authority to enter into these Terms; (ii) all information provided to Axiym is truthful and accurate; (iii) it is the legal and beneficial owner of any Assets transferred to Axiym; and (iv) the Assets are not derived from any illegal activities.
- Ongoing Compliance: By using the Platform, you represent that you are in full compliance with all applicable laws, including Swiss AML regulations, international sanctions and data protection regulations.
- Account Deactivation: Axiym reserves the right to deactivate, delete, or restrict your account at any time, without giving any reason or prior notice.
- Incomplete Registration: If Axiym refuses a registration, or if a registration remains incomplete, Axiym will irrevocably delete the potential User’s data within fourteen (14) business days, subject to regulatory retention requirements.
5. Execution of Exchange and Financing Transactions
- Customer First Performance: The Customer must fulfill its obligations first, including the transfer of Assets to Axiym's designated account or wallet, before Axiym executes the exchange, unless explicitly modified by an active Facilities Agreement governing Financing Services.
- Axiym’s Performance: Axiym shall only fulfill its obligations after receiving the Assets in full, in proper form, and cleared of any regulatory red flags, except where Axiym has agreed to provide instant settlement under a separate Facilities Agreement.
- Trading Offers: Each transaction (whether a standard exchange or a financing) initiated via the Platform constitutes a separate, binding transaction. Axiym determines all available exchange rates and supported assets at its sole discretion at the time of the trade.
- Fees: Applicable fees for each transaction are displayed on the Platform at the time of initiation. By confirming a transaction, the Customer agrees to the fees as displayed. Axiym is authorized to deduct fees from the Assets at the time of settlement.
- Manifest Error: Axiym reserves the right to void or amend any transaction based on an obvious pricing or technical error ("Manifest Error"). Any funds sent in error must be returned to Axiym immediately.
- Market Volatility: Axiym is not liable for price fluctuations or "slippage" occurring during execution.
- Costs: Each Party shall bear its own costs and taxes arising from the use of the Platform and the execution of trades.
6. Data Privacy
- Data Retention: In accordance with Axiym's legal and regulatory obligations, Axiym shall store customer data and transaction records for a minimum of ten (10) years.
- Regulatory Disclosure: Axiym is obligated to share data with relevant regulators, especially the Swiss Anti-Money Laundering Act (AMLA) authorities, and will do so without prior notice to the Customer where required by law.
- Privacy Policy: The Axiym Privacy Policy available at the following website is hereby incorporated into these Terms by reference, https://axiym.io/privacy-policy. In the event of any conflict or inconsistency between these Terms of Use and the Axiym Privacy Policy—particularly regarding data retention obligations, regulatory disclosures, and User consent warranties—the provisions of these Terms of Use shall prevail to the extent of such conflict.
- Data Processing & Profiling: During registration and platform usage, Axiym collects and processes personal data to personalize content, improve service quality, provide targeted communications, and, in some cases, prepare usage profiles. Axiym and its Affiliates may use the registered e-mail address to provide targeted content to Users.
- Third-Party Consents: The User assumes full responsibility for ensuring that all necessary legally valid consents have been obtained from any relevant individuals (such as employees, directors, or beneficial owners of the Corporate Client) before submitting their personal data to the Platform.
- Electronic Communications: You consent to receive communications from Axiym electronically (e.g., via email or Platform notices). You agree that all electronic notices, disclosures, and agreements satisfy any legal requirement that such communications be in writing.
- Transmission Security: While Axiym implements robust industry-standard security measures, no data transmission over the Internet or wireless networks can be guaranteed to be 100% secure. Axiym cannot ensure or warrant the absolute security, authenticity, integrity, or confidentiality of any information you transmit to the Platform, and you do so at your own risk.
7. Intellectual Property & Restrictions
- Ownership: Axiym (or its licensors) retains exclusive ownership of the Platform, the Services, and all underlying software and algorithms (including "Cerberus"), and all materials, including but not limited to illustrations, data, text, images, coding, and functionality (collectively, the "Contents"). The Contents are protected by copyright, trademark, and other forms of proprietary rights.

Prohibited Conduct: Users agree not to circumvent, disable, or otherwise interfere with any security-related features of the Platform. Users are strictly prohibited from:
- downloading, copying, reproducing, republishing, transmitting, or distributing the Contents or any part thereof for whatever purpose, except as explicitly agreed to in writing by Axiym;
- reverse engineering, altering, or interfering with any part of the Platform;
- attempting to gain unauthorized access to secure areas, other Users' records, or underlying network data;
- imposing an unreasonable or disproportionately large load on Axiym’s infrastructure, communications, or systems (e.g., spamming or DDoS attacks);
- using automated tools to scrape data without authorization; and (vi) using the Platform in a manner that is unlawful, harms Axiym’s reputation, or defames, threatens, or harasses any person.
- Enforcement: Any breach of Platform security or unauthorized access attempts may constitute a criminal offense. Axiym reserves the right to investigate such violations and report them to the relevant law enforcement authorities.
- Feedback: Any questions, comments, suggestions, or feedback sent to Axiym are provided voluntarily on a non-confidential and non-proprietary basis. Axiym reserves the right to use, reproduce, disclose, or implement such information for any purpose without compensation or obligation to the User.
8. Assignment
- The Customer shall not be permitted to assign or transfer any of its rights or obligations under these Terms to third parties without Axiym's prior written consent.
- Axiym may assign and transfer its rights and obligations under these Terms to any third party (including affiliates or successors) without the Customer’s prior consent.
9. Liability, Indemnification & Relationship
- Aggregate Cap: To the maximum extent permitted by mandatory Swiss law, Axiym’s aggregate and cumulative liability for all claims shall not exceed the total fees paid by the Customer to Axiym in the twelve (12) months preceding the event giving rise to the claim.
- Specific Exclusions: Axiym shall not be liable for: (i) indirect or consequential damages; (ii) devaluation or failure of any digital asset; (iii) technical failures of blockchain networks; or (iv) reliance on AI-generated "Cerberus" reports; (v) any computer virus, data loss, or hardware damage resulting from the downloading of any material from the Platform; or (vi) any damages or losses caused by third parties gaining unauthorized access to the Platform or the User's systems.
- Third-Party Providers: The execution of Exchange and Financing Services inherently relies on third-party infrastructure (banking partners, digital asset custodians, blockchain protocols). Axiym makes no representations regarding their continuous availability and shall not be liable for delays, losses, or frozen Assets caused by third-party failures.
- Indemnification: The Customer agrees to indemnify and hold harmless Axiym, its Affiliates, and employees from any claims, fines, regulatory actions, or damages arising out of the Customer's breach of these Terms, violation of applicable law, or third-party claims related to the Customer's Assets.
- No Fiduciary Duty: Axiym acts as a principal counterparty on an arm’s-length basis. No fiduciary or agency relationship is created between the Parties.
- Exceptions: Nothing in these Terms limits liability for unlawful intent or gross negligence.
10. Termination and Suspension
- Right to Terminate: Either Party may terminate the relationship governed by these Terms at any time with immediate effect by providing notice via email. Termination is without prejudice to transactions initiated prior to the notice; outstanding transactions must be settled under these Terms.
- Suspension: Axiym may immediately suspend services for market disruptions, technical maintenance, regulatory requirements, or suspicious activity at its sole discretion.
11. Amendments to these Terms
- Right to Modify: Axiym reserves the right to modify or update these Terms at any time to reflect changes in the law, regulatory requirements, or Platform functionality.
- Notification: Material changes will be notified to the Customer via the Platform interface, email, or by posting the revised Terms on the Website with a new "Last Updated" date.
- Acceptance: Your continued use of the Platform or Exchange Services following the posting of changes constitutes your binding acceptance of the updated Terms. If you do not agree to the modified Terms, you must cease using the Platform and terminate your account immediately.
12. Miscellaneous Provisions
- Severability: If any provision is found invalid or unenforceable by a court, the remaining provisions remain in full effect.
- No Waiver: Failure by Axiym to enforce a right does not constitute a waiver of its right to enforce that or any other provision in the future.
- Force Majeure: Axiym is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to (i) natural disasters, acts of God, or epidemics; (ii) war, terrorism, or severe civil disruption; (iii) sudden government actions, regulatory changes, or judicial orders; (iv) labor strikes; or (v) technical crises such as widespread cyber-attacks, third-party network disruptions, or underlying blockchain protocol changes.
- No Third-Party Rights: This Agreement is for the sole benefit of the Parties and creates no rights for any third party.
- Taxes: The Customer is solely responsible for any taxes (including VAT or capital gains taxes) resulting from the use of services. The Customer shall indemnify Axiym against any tax liabilities imposed on Axiym regarding the Customer's transactions.
- Sanctions Compliance: Axiym reserves the right to immediately block access, freeze assets, or terminate the account of any User who becomes subject to Swiss, EU, or US sanctions.
- Non-Solicitation: During the term of this Agreement and for 12 months thereafter, the Customer shall not solicit for employment any employee or contractor of Axiym involved in the provision of the Services.
- Entire Agreement: These Terms (along with the Privacy Policy and any applicable Facilities Agreement) constitute the entire agreement between the Parties and supersede all prior agreements or communications.
- No Waiver: No failure, delay, relaxation, or indulgence by Axiym in exercising any right or power under these Terms shall operate as a waiver of that right.
13. Governing Law and Jurisdiction
These Terms and all claims arising in connection with the Platform are governed exclusively by Swiss substantive law, excluding the CISG. Disputes shall be submitted to the exclusive jurisdiction of the competent civil courts in Zug, Switzerland. Notwithstanding the aforesaid, Axiym reserves the right to submit a dispute to any other civil court worldwide having jurisdiction over the respective User.
